Decide whether to assign a par value (minimum dollar amount assigned to shares of stock)  or non-par value (no value declared in articles of incorporation but set later by the Board of Directors when the value of the corporation goes up).  Keep in mind that par value has nothing to do with market value and par value will not limit the cost of the shares.  Check applicable state law regarding whether or not you are required to choose a par value amount when drafting your articles of incorporation and what amounts are recommended. You must issue a stock certificate and then record that issuances in a stock ledger which becomes part of your permanent records. It can be vital if you want a steady growth. It may also be unnecessary as a passive management alternative often is available for long term investing.</p><p>However, many prefer to use and pay for the services of a broker because they feel more comfortable making decisions about their finances with the interactive guidance of a licensed advisor.</p><p>Using a stockbroker for financial guidance one must be aware of the fact that they do get paid on a commission. This can be a reason for them to trade more often as more trades make them more commission. The stockbroker is also paid on the result they can achieve.</p><p>Furthermore a conflict of interest arises when a stockbroker offers his/her services as a financial planner, because their revenue is generated as a direct result of your investment in the stock or mutual fund that they broker to you.</p><p>Your return on investment may not be as great, and the advice they give you might not be in your best interest. However, some mutual funds and stocks can only be purchased through a broker. In such cases their services are required to purchase the financial instrument in question. If you use the services of your bank there are some facts to consider. When you talk about the options you have to invest your money, they will certainly recommend the funds they control themselves. In some countries you can for example invest in a portfolio with shares and have a guarantee to at least get your initial investment back in 2, 3 or 4 years. Sounds great to many and when they say yes to invest, the bank charge 110%. In that way the bank make a profit and secure the costs from start. Do the bank take a risk? No, they cover themselves with other types of investments that function as an insurance.</p><p>So now your portfolio starts off with a backlog of 10%. Often the investment will recover and take back most of the initial loss and the guarantee makes many invest as they feel comfortable and secure when they invest in this way.</p><p>Back to the question about what kind of investments the bank recommend. Do they recommend other banks portfolios? I don´t think so. If you go to a car dealer that sell Ford, do they recommend you to buy a Lexus? Certainly not.</p><p>A stockbroker working in a bank is not neutral, their job is to make you invest in the shares they make the biggest profit for them. If you make a profit too, that is fine but not their prime priority.</p><p>There are the authorities though to help the customer out. And there are rules and regulations about the way stockbrokers can and shall work. Depending on in which country you are investing the rules can vary. In some countries stockbrokers can have his own portfolio and the company where he works can also have an portfolio of shares.</p><p>This makes an eventual conflict arise whenever something special happens. There are numerous customers that suspect that they have been recommended shares in companies that will face problems and where the stockbroker wants to sell his own shares before the market drops. The stock prices of the nation&#8217;s publicly-traded providers of health insurance plans have risen. This is after the 1:00 A.M. vote that closed debate on the bill and prevented a Republican-led filibuster.</p><p>Health insurance companies were fearing the worst when the House of Representatives agreed to include a public option health insurance plan in their own version of the bill. However, Senate Majority Leader Harry Reid eliminated that government-run program due to opposition from moderate members of the Democratic caucus. An expansion in Medicare eligibility was also rejected by undecided senators, such as Joe Lieberman and Ben Nelson. Their votes were sorely needed in order to reach the 60-vote threshold needed to pass the bill.</p><p>What does this mean for insurance companies? The government will not offer direct competition to any private health insurance plans, so there will not be as much downward pressure on premiums and costs from that area. Insurers will now have to contend with adding millions of currently uninsured Americans to their rolls, many of them with pre-existing conditions they would otherwise refuse to underwrite. Since they will no longer be allowed to deny coverage, profits will be reduced. Health insurance plans will be banned from charging discriminatory rates that vary based on occupation or gender: for example, the common practice of charging women higher health insurance premiums (excluding pregnancy care) than men of similar health&#8211;often justified by the added cost of gynecological care and the supposed higher amount of health care used by women&#8211;will no longer be allowed. Lifetime limits on insurance coverage, which are often exceeded by individuals suffering from cancer or other serious illnesses, will also be banned; meanwhile, annual coverage limits will be regulated and limited to a certain sum.</p><p>All of those new regulations, combined with an additional tax on the health insurance industry, seem as if they would have a negative impact on insurers&#8217; business models. However, health insurance providers and their shareholders are content with the situation, at least compared with the alternative. Health insurance companies will now see a $2 billion tax in 2011, which will increase each year until it reaches $10 billion in 2017. Such taxes will take a significant bite out of their profit margins; still, they are preferable to the fixed $6.7 billion in taxes that would be levied under the original proposal. Insurers also appreciate the modified version&#8217;s phasing in of the tax, because it makes it easier for them to factor it into their pricing.</p><p>Most importantly, the Senate&#8217;s healthcare reform bill will provide subsidies for those making up to 400% of the poverty level to buy health insurance plans. They will be able to enter exchange markets and choose from a variety of health insurance plans from private providers. Many of these individuals and families would not be able to afford health insurance otherwise. In effect, the legislation provides millions of new customers to health insurers. That is very appealing to insurers, who would otherwise see fault with the bill&#8217;s stricter regulations.</p><p>With the increase in stock prices, it appears that the financial market also appreciates the Senate&#8217;s bill. Several important healthcare industry indexes soared after the successful late night vote. The Standard &amp; Poor&#8217;s Managed Health Care Index, which includes HMO health insurance plans, increased by nearly 5%. Morgan Stanley&#8217;s similar index, known as the Healthcare Payor stock index, went up by 3.6%. Meanwhile, the S&amp;P Healthcare index rose almost 1.5%.</p><p>Which health insurance companies gained the most after the announcement? Aetna was one of the main beneficiaries: their shares increased by 5.84% in under 24 hours! With 5.3%, Cigna was also very successful. United Health Group, Humana, and Wellpoint also benefited from the legislation.
